Hi,I'm setting up a company with a local partner & his associate as a PT. The PT setup is needed as PMAs are subject to high under-the-table payments to be able to make business in the area (when I say "high", I mean 12 months of turnover, more than twice my initial investment ...). The business needing my expertise & trusting my associates for working with us for several years already, the PT definitely seems the best option. As I will not be an associate of the PT (not being Indonesian ...), I will need a KITAS / Work Permit submited by the PT to be able to work for this company as an employee. Was wondering how much time after begining of the incorporation process, a PT is actually able to submit KITAS / Work Permit applications in order for me to work legally for this company ?Thanks for your help ! :)

Not 100% sure but i believe it will be about one month after you start intial process and company gets its tax number

if the PT is registered and licensed and thus has a taxnumber, they can apply for a KITAS and workpermit in your name. How fast the KITAS+workpermit is available that depends on how fast all paperwork is being processed by all departments involved.

However, it depends on the government discretion

Can a PT company sell some of it's shares to an another Indonesian?
heerhugo
If you setup a PMA you can apply for the kitas halfway the process of setting up a PMA.If you setup a local PT you can apply after the whole setup of the PT has been completed, so after finishing still 2 to 3 months more.
SHoggard
heerhugo, do you know that rembrandtlumbungs.com is returning a "Server Not Found" message?

of course pt can sell its share to another indonesian

Zivva I'm interested in what your basing your preference for PT over PMA is based on? I am looking to set up a company, and a PMA appears to have more control? I would like to build 2-5 villas as investments, maybe 2 at a time, and then use one for my base in Bali to run some sort of business from. Apparently about 35 million is needed to set up the PMA. Do you or anyone know from experience what the ongoing fees are? Or any pro's/cons? Any thoughts are much appreciated. :)

Dunaden, a PT is only the form of the company, while PMA is the majority shareholders origins from abroad. So a PT can be PMA (foreign shareholders included) or local/PMDN (local shareholders only)If you are going to invest quite a lot, I suggest you apply for PMA because you will have a better control over the company because god forbid you partner might not be a saint after all and it will be easier to apply for KITAS if its a PMA but the total cost would be a lot handle especially under the table money. If you are applying for a local PT, it will be easier for the company paperwork to be finished, but it would be harder for you to have control over the company since legally you are only a hired employee, make no mistake whether you are legally the owner or not, under the table money for "bules" will always come, LOLI just hate to see the classic story of trusted partner goes bad and the expat dont have any legal ground over the company gets kick out.Worst case scenario if your investment are something you can live without, just apply for local PT and have a faster process to go with it, but I suggest take your time and think wisely

Thanks Ferdie, i'm heading back in8 weeks to research PMA's, building, etc-do you or anyone know of any links etc. where I can try and do some research before I go? When i put PMA in this sites search engine it says it is in the site that much it cant "narrow it down"....:( I have emailed 3 Visa companies-2 in Bali and 1 in Sydney....not one response....and thoughts are much appreciated.

There is a Google search box on this page on the right, just above the currency rates:https://balipod.com/forum/It works better than the default search. Also Google's inurl parameter is useful. From Google.com type in query like this:inurl:pMA site:balipod.comor you can try this:PMA site:balipod.com

I think there has been a lot about PMA setup, I do know that things have change over the past 12 months, If you go to the BKPM web site it will give you the legal way. Then you need a agent to adjust it to your requirements.
SHoggard
You could search outside Balipod (gasp! :uncomfortableness:)try: company registration Indonesia in google
Dunaden
Thanks guys, I have looked outside this site , but will do so some more :) I will check out those links too, your tips are appreciated as it all seems so "grey", dodgey lawyers, notaris, under table payments, inconsistent fees and processing times....ughhh I need a beer just thinking about it all!

Use the external links you find to understand the process

Use the external links you find to understand the process
Thanks for that found out that foreigners can only own 49% of a PMA for a bar, hotel etc....well that's a fair kick in the guts straight up! The research continues....

Dunaden
Yes I got it from their list? And /or Indosight?
SHoggard
It does sound about right... so, Dunaden, there's the value of 'primary research':- before going hunting for the scary scams & ripoffs..... find out what the actual regulations are (if you don't like them, dig deeper maybe you'll find an exception, who knows).I do hope that this doesn't put the kaibosh on your plans, in another thread you said you were going to sell the house/business & move to Bali (I vaguely recall).
